Company Closing in RAKEZ Free Zone

Company liquidation in RAKEZ follows a structured procedure. Registered agents such as B2B Group of Consultants can initiate and manage the closure process on behalf of investors.

The company closure application must be submitted to RAKEZ along with a notarized declaration from the owner stating the reason for termination. If the shareholder is outside the UAE, the declaration must be notarized at a UAE Embassy and submitted in original form. For corporate shareholders, a notarized board resolution signed by all shareholders is required.

Before proceeding, the General Manager must formally resign, and all outstanding liabilities with suppliers, banks, Free Zone authorities, and government departments must be settled. Employee visas must be cancelled and dues cleared. An exit interview or survey may be conducted by the authority as part of the procedure.

Clearance Required for Liquidation

The company must obtain clearance from relevant departments, which may include:

  • RAK Customs (for warehouse or land lease holders)
  • Chamber of Commerce (if applicable)
  • Environmental Protection Department (for industrial licenses)
  • Telecommunications providers (Etisalat or Du)
  • Federal Electricity and Water Authority
  • Any other department with outstanding dues

After obtaining all clearances, the final documents are submitted along with the closure application and required fees. All employee visas must be cancelled before final approval.

Upon completion of the process, RAKEZ issues a Company Liquidation Certificate confirming the legal termination of the entity. Once liquidated, the company is no longer authorized to conduct business activities within RAKEZ.
